01. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "you", or "your") and Acadmiyum Technologies OPC Private Limited ("Company", "we", "us", or "our"), governing your access to and use of our ecosystem of applications, websites, software, and services, including:

• AcadmyAI: acadmyai.com
• TutorAI: tutor.acadmyai.com and its Android app (com.acadmyai.study)
• VivaAI: viva.acadmyai.com and its Android app (com.acadmyai.viva)
• Associated developer tools, vector engines, and subdomains (collectively, the "Services").

By creating an account, authenticating via Google Sign-In, purchasing a Cram Pass or subscription, or simply browsing our Services, you confirm that you have read, understood, and agreed to be bound by these Terms and our Privacy Policy. If you do not agree with these Terms, you must immediately discontinue using our Services.

02. Description of Services

AcadmyAI delivers an integrated AI-driven educational technology platform, which includes:

• VivaAI Oral Examiner: AI-guided Socratic examination sessions with speech recognition, dynamic follow-up questioning, Knowledge Radar multidimensional analytics, and personalized remedial study notes.
• TutorAI Course Marketplace: Interactive digital courses, curricula builders, formula solvers, and curated lecture sequences.
• Video Embeds & Lecture Recommendations: Seamless embedding and playback of educational video lectures retrieved via YouTube API Services.

We continuously update and refine our algorithms and feature sets. We reserve the right to modify, suspend, or discontinue any feature of the Services at any time with or without prior notice.

03. YouTube API Services Terms

Portions of the AcadmyAI Services connect with and utilize YouTube API Services to allow educators to integrate educational video lectures and allow students to view instructional content within course modules.

Content Ownership Notice: All YouTube videos, channels, trademarks, audio streams, and visual content displayed via YouTube embeds are the sole property of their respective content creators, uploaders, or YouTube LLC. AcadmyAI does not claim copyright ownership or distribution rights over third-party YouTube content.

Revoking Permissions: You can manage or revoke AcadmyAI's access to your Google account permissions at any time via the official Google portal:

04. User Accounts & Google OAuth Authentication

To access advanced features (such as taking Socratic viva examinations or saving course progress), you must establish an account. You may register using standard credentials or authenticate via Google Sign-In (OAuth 2.0).

• Account Integrity: You agree to provide accurate, current, and complete registration information. You are solely responsible for maintaining the confidentiality of your credentials.
• Notification of Unauthorized Access: You agree to immediately notify AcadmyAI at hello@acadmyai.com upon becoming aware of any breach of security or unauthorized use of your account.
• Google User Data Protection: As described in our Privacy Policy, we protect Google user data using industry-standard TLS 1.2/1.3 transit encryption, AES-256 rest encryption, and never sell or use your Google data for unauthorized AI model training.

05. Acceptable Use Policy & Prohibited Conduct

You agree to use our Services only for lawful educational purposes and in compliance with these Terms. You shall NOT:

• Reverse engineer, decompile, disassemble, or attempt to derive the source code of AcadmyAI, VivaAI, or TutorAI algorithms.
• Scrape, spider, crawl, or harvest course materials, exam rubrics, or user data using automated scripts, bots, or scrapers.
• Bypass, disable, or circumvent any security measures, rate limits, paywalls, or digital rights management (DRM) technologies.
• Download, record, or rip YouTube audio or video streams from embedded players in violation of the YouTube Terms of Service.
• Submit, transmit, or upload any abusive, defamatory, obscene, infringing, or harmful material during viva voice sessions or in community forums.
• Impersonate any person or entity, or falsely state or misrepresent your affiliation with Acadmiyum Technologies.

Violation of these acceptable use policies may result in immediate suspension or permanent termination of your account without refund.

06. Intellectual Property Rights

• AcadmyAI Intellectual Property: The AcadmyAI platform, VivaAI examination engine, Knowledge Radar scoring models, user interfaces, branding, graphics, and proprietary software are owned by Acadmiyum Technologies OPC Private Limited and protected by copyright, trademark, and trade secret laws.
• User Generated Content: You retain ownership of any course notes, study outlines, or curriculum materials you author. By uploading content, you grant AcadmyAI a non-exclusive, worldwide, royalty-free license to store, process, and display such content solely for delivering the Services to you.
• Third-Party Media: All third-party trademarks, course textbook references, and YouTube educational media belong to their respective owners.

07. Subscriptions, Payments & Refunds

• Pricing & Plans: Certain premium features (e.g., unlimited VivaAI oral exams, Cram Passes, Course Marketplace certifications) require paid subscriptions or one-time fees as clearly displayed at checkout.
• Payment Processing: All payments are securely processed through our authorized payment gateway partner, Razorpay Software Private Limited. By purchasing, you agree to Razorpay's processing terms. AcadmyAI does not store or process sensitive debit or credit card details directly.
• Taxes: Fees are inclusive or exclusive of applicable taxes (including Goods and Services Tax / GST in India) as indicated during billing.
• Refund Policy: Cram Passes and digital examination tokens provide instant access to compute-intensive AI inference and are non-refundable once utilized. Subscription cancellation requests submitted prior to renewal will prevent future billing cycles. Inquiries regarding billing discrepancies may be addressed to hello@acadmyai.com.

08. Disclaimer of Warranties

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY.

While our AI models strive to provide pedagogical rigor and accurate Socratic examinations, AI-generated content may occasionally contain inaccuracies or hallucinations. AcadmyAI is a supplementary educational study aid and does not guarantee specific examination results, university grades, or official professional certifications.

09. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL ACADMIYUM TECHNOLOGIES OPC PRIVATE LIMITED, ITS DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES RESULTING FROM:

• Your access to, use of, or inability to access or use the Services;
• Any conduct or content of any third party, including third-party YouTube video streams;
• Any unauthorized access to, use of, or alteration of your transmissions or data.

In no event shall our total aggregate liability for all claims arising out of or relating to these Terms or the Services exceed the total amount paid by you to AcadmyAI in the twelve (12) months preceding the incident.

10. Indemnification

You agree to defend, indemnify, and hold harmless Acadmiyum Technologies OPC Private Limited, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable legal fees) arising out of or in connection with your breach of these Terms, your misuse of the Services, or your violation of any applicable law or third-party right.

11. Governing Law & Jurisdiction

These Terms and any dispute or claim arising out of or in connection with them shall be governed by and construed in accordance with the laws of the Republic of India, without giving effect to any principles of conflicts of law.

Any legal suit, action, or proceeding arising out of or related to these Terms shall be instituted exclusively in the competent courts located in New Delhi, India, and each party irrevocably submits to the exclusive jurisdiction of such courts.

12. Modifications to Terms

We reserve the right to revise or update these Terms at any time to reflect operational, legal, or regulatory changes. When modifications are made, we will update the "Last Updated" date at the top of this document. Material changes will be communicated via prominent notice on our website or via email to registered users. Continued use of the Services after the effective date of updated Terms constitutes your binding acceptance.
